Regarding operational support after establishment of a corporation

Hello.
This is Yoshimura from the Osaka branch.
This time, I will tell you about the operation after the establishment of the company.
After establishing a corporation, when changing something about the company,
A resolution at a general meeting of shareholders or a resolution by the board of directors is required.
Even if you are the president, you cannot make changes on your own.
Minutes, etc. that serve as proof of a resolution must be signed or affixed with a name and seal.
In some cases, it may be sufficient to affix only the seal of the corporate representative;
In some cases, it may be necessary to affix the registered seals of all directors.
For example, if a company has only the president as a director and increases the number of directors and relocates the head office location,
If a new director is appointed first and then the head office is relocated,
Even if the president originally decided to relocate the head office before increasing the number of directors,
A resolution to relocate the head office may require the seals of all members, including newly appointed directors.
In this case, even if the actual head office relocation date is after the date of increasing the number of directors,
If the resolution to relocate on that day is made before the time for increasing the number of directors,
The only seal required for a resolution to relocate the head office is the seal of the corporate representative.
It's a small thing, but even though there are various rules as a corporation, you can come up with some ideas.
We will continue to support you even after your company is established.
